Aterian adjourned its special meeting to July 17, 2026, issuing an urgent call for stockholders to approve the sale of substantially all assets to Trademark Global and a related investment transaction.
The $18 million asset sale is expected to return $0.85 to $1.14 per share and is paired with a $7 million strategic investment, with both Glass Lewis and ISS recommending a vote for the proposals.
Management warned that failure to approve the deal poses a material risk of shareholders receiving very little to no value, as the proposal is currently separated by a margin of just 285,000 votes or 2.7%.
