Cheche Group (Nasdaq: CCG) has entered a non-binding term sheet for a proposed strategic investment in Long Way Fortune, a residential solar-plus-storage business with operations in Australia and Singapore.
The deal contemplates an initial 20% minority stake with the potential to rise to up to 51% over time, structured as a stock-for-stock investment at an overall implied equity value of US$490 million, with Cheche's stock-linked consideration subject to a delayed release schedule over the next few years.
The investment would anchor Cheche's new "Green Mobility + Green Energy" two-pillar strategy, positioning residential energy storage as a potential second long-term growth engine alongside its auto insurance technology platform, with the initial investment targeted for completion by December 31, 2026.
Completion remains subject to due diligence, definitive agreements, board and shareholder approvals, and regulatory clearance including Nasdaq approval, and the company explicitly cautions there is no assurance the transaction will be completed; the stock-funded structure also implies future dilution for CCG shareholders.
