Cardiff Lexington (OTCQX: CDIX) signed a letter of intent to acquire a multi-location musculoskeletal healthcare platform for up to $104 million, its largest disclosed transaction.
Consideration includes $30 million cash at closing, $10 million in deferred notes, preferred equity giving sellers 35% of fully diluted shares, and up to $12 million of stock earnouts tied to 2027-2029 EBITDA thresholds of $15M/$18M/$22M.
The LOI is non-binding as to closing, and the company has not yet obtained binding financing commitments; projected close is November 16, 2026 after a 45-day exclusivity and diligence period.
