Charlton Aria Acquisition Corporation (Nasdaq: CHAR) signed a definitive business combination agreement to take KQC Quantum, a Korean enterprise quantum computing and quantum-safe security company, public on Nasdaq.
The deal values KQC at an $80 million pre-money equity value ($11.00 per share) with an implied pro forma equity value of roughly $215 million; CHAR's trust held about $93.5 million as of September 25, 2026, subject to redemptions and a $30 million minimum cash condition.
KQC's Qubiteer hybrid quantum platform remains in development, but the company has paid proofs of concept with IBK and LS ITC and projects with POSCO Holdings and Busan Transportation Corporation.
Closing is expected in H1 2027, contingent on CHAR shareholder approval, an extension of the October 25, 2026 deal deadline, SEC effectiveness of the S-4, and Nasdaq listing approval.
