Solidion Technology declared its below-market bid for Flux Power 'best and final' after Flux's board rejected the acquisition proposal, saying it sees no basis to raise the offer.
In the release, Solidion argued Flux faces an immediate need for at least $10 million in fresh capital likely to come via highly dilutive financing, plus NASDAQ minimum bid-price compliance pressure after a July 24, 2026 deficiency notice.
Solidion said it will pursue other prospects in parallel and urged Flux shareholders to demand transparency on the company's ability to continue as a going concern. No definitive agreement exists, and any transaction remains subject to diligence, financing, and approvals.
