GTCH: 10-Q — periodic report
GBT Technologies' 10-Q for the quarter ended June 30, 2026 discloses substantial doubt about its ability to continue as a going concern, with an accumulated deficit of $296,570,132, a working capital deficit of $10,869,592, and cash of exactly $0 at quarter end. Management says it plans private placements of debt and equity and needs roughly $10 million to fully implement its business plan.
Losses widened sharply: Q2 net loss was $385,941 versus $215,554 a year ago (79% worse), and the six-month loss was $573,651 versus $317,954 (80% worse), driven by derivative liability increases, debt discount amortization, and higher financing costs. The company reported no revenue and cut operating expenses 28-32% because of liquidity constraints.
Dilution is extreme: shares outstanding grew from 20.2 billion to 24.4 billion in six months, including 3 billion shares issued for just $30,000 of convertible note conversions, and fully-converted potentially dilutive shares total roughly 672.3 billion — including 637.8 billion from convertible notes and 10 billion from Series I preferred.
The filing also discloses that disclosure controls and internal control over financial reporting were not effective as of period end, citing lack of accounting staff and a material weakness. Strategically, GBT holds about 14.2% of Nasdaq-listed VisionWave Holdings (VWAV) and in January 2026 entered a joint venture with VWAV and BOCA JOM for defense/high-security technology projects that has generated no revenue to date.
