Locafy to Acquire Map Labs’ Assets, Significantly Expanding Revenue and U.S. Customer Base
Locafy Limited (Nasdaq: LCFY) signed a definitive agreement to acquire the assets and customer base of U.S.-based maps marketing firm Map Labs for up to US$3.0 million in cash, expected to close on or before December 31, 2026.
Map Labs is expected to contribute approximately US$2.0 million in ARR and US$900,000 of EBIT in CY2026 — a 45% EBIT margin acquired at roughly 2.2x EBIT. The structure is US$2.0 million upfront plus US$1.0 million in revenue-linked earnouts, funded primarily through a debt facility with no Locafy shares issued.
The deal brings 10,000+ end customers, including a Fortune 100 company, creating cross-selling opportunities for Locafy's SEO, AEO and AI-powered website products, and marks a meaningful step in its U.S. growth and profitability strategy.
