Quince Therapeutics, Inc., a biopharmaceutical company, focuses on advancing precision therapeutics for debilitating and rare diseases. Quince Therapeutics has acquired clinical-stage biotech Orphai Therapeutics to secure its lead asset LAM-001, an inhaled rapamycin formulation for pulmonary diseases.
To fund the acquisition and extend its cash runway to the end of 2028, Quince executed a private placement raising up to $187 million, including $115 million in upfront proceeds.
The transaction is highly dilutive: existing Quince shareholders will own approximately 6.9% of the fully-diluted company, while PIPE investors will hold 61.2% and former Orphai shareholders 31.9%.
