TruGolf announced a definitive agreement to acquire Polymath Research Inc., a developer of institutional-grade blockchain infrastructure for regulated digital securities, in a stock-for-stock transaction.
Polymath reported $4.2 million in revenue for 2025 with total assets of $21 million, and its shareholders will receive approximately 19.9% of TruGolf's outstanding Class A common shares plus non-voting Series C preferred stock.
Concurrently with the closing, TruGolf raised $3.0 million in stated value from existing Series A preferred holders, with the transaction expected to close in Q3 2026 subject to regulatory approvals and a minimum market cap condition.
